Soikie Terms of Use

These Terms govern your access to and use of Soikie's website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you represent, warrant, and agree to these Terms in full, whether or not you register for an account. If you do not agree, do not use the Platform.

Soikie may update these Terms at its discretion. Material changes will be communicated by email or prominent notice on the Platform at least 30 days before taking effect; non‑material changes take effect immediately upon posting. Your continued use of the Platform after any update constitutes acceptance of the revised Terms. These Terms supersede all prior versions.

1. Nature of the Platform

1.1 Effective Date & Applicability

These Terms govern your access to and use of Soikie's website, mobile applications, and related services (the "Platform") as of the "Last Updated" date above. By using the Platform you agree to these Terms in full. If you do not agree, do not use the Platform. Soikie may update these Terms at its discretion. Material changes will be communicated by email or by a prominent notice at least 30 days before they take effect. Non-material changes take effect upon posting. Continued use after any update constitutes acceptance of the revised Terms.

1.2 Definitions

Platform means Soikie's subscription-based, two-sided technology marketplace and all associated websites and mobile apps. Seeker means a Registered User who requests or purchases services (for example, tutoring, coaching or childcare). Provider means a Registered User who offers services and responds to Seekers' requests. Registered User means any individual who registers for a Seeker or Provider account. Additional Terms means any feature-specific rules or vendor agreements referenced within the Platform (for example, Stripe's Connected Account Agreement or a live-video vendor's terms).

1.3 Description of Our Services

Soikie connects Seekers and Providers via a subscription-based platform. Seekers may publish detailed service requests, browse and filter Provider profiles by credentials, availability and fees, exchange secure in-app messages, schedule or reschedule sessions and receive automated reminders. Providers may create and update profiles showcasing qualifications, pricing and availability, manage incoming requests, accept or decline engagements and receive payments through integrated gateways. Soikie also maintains an institutional directory (for example, schools or community organizations) governed by separate terms. We provide guidance resources—such as a Safety Center, training guides, moderated Q&A forums and best-practice documents—to help users make informed choices about interviewing, selection and risk mitigation.

1.4 Limitations of Our Services

Soikie strictly supplies the technical means for connection, communication and scheduling. We do not supervise, guarantee or control any offline services. We do not vet, endorse, certify or audit Provider credentials, backgrounds or licenses, and we make no representations regarding the accuracy or completeness of user-generated content. Any agreements, payments, disputes or legal obligations arise solely between the Seeker and Provider and are governed by applicable law. Seekers and Providers remain responsible for compliance with all professional, employment, tax, licensing and other legal requirements in the jurisdictions where services are performed. Soikie disclaims all liability for any offline interactions, service quality or user-to-user disputes facilitated by the Platform.

1.5 User Responsibilities

Each Registered User must provide accurate information during registration and keep it current. Seekers are solely responsible for selecting Providers and must conduct their own due diligence—including interviews, reference checks, license verifications and age and U.S. work-eligibility confirmations—before engaging any Provider. Providers must ensure they possess and maintain all necessary qualifications, credentials, insurance and authorizations to lawfully offer and deliver services. All risks, obligations and liabilities arising from any Seeker-Provider engagement rest solely with those parties.

1.6 What Soikie Does Not Do

Soikie strictly serves as a technological intermediary. Soikie does not:

• Provide, supervise or guarantee the quality, safety or legality of services delivered by Providers
• Employ, direct or act as agent or joint employer of any Seeker or Provider
• Vet, endorse, certify or audit user credentials, licenses or backgrounds
• Mediate, interpret or enforce the terms of any agreement entered into between Seekers and Providers

1.7 Excluded Services

The term "Platform" excludes:

• Websites, applications or services operated by Soikie's subsidiaries or partners under separate terms
• Third-party integrations or external links (other than in-app payment gateways governed by their own policies)

1.8 Risk Allocation & Notices

All service engagements, contracts and payments occur exclusively between Seekers and Providers outside Soikie's control. By using the Platform, you acknowledge that Soikie is not responsible for disputes, negligence claims or alleged wrongdoing arising from these interactions. Use of the Platform is at your own risk.

1.9 Additional Features & Integrations

Soikie integrates with third-party services to enhance functionality. We facilitate credit and debit card payments through Stripe, Inc., under Stripe's Connected Account Agreement. By using this feature, you authorize Soikie to share transaction details with Stripe and assume all associated payment risks, including non-refundability. Eligible Providers may opt into partner benefit offerings (for example, insurance or professional tools). Soikie bears no liability for those benefits. Our mobile apps may offer live video-interview capabilities powered by third-party vendors, governed by the vendors' terms. The Platform continues to evolve; new features or integrations may be introduced under these Terms or specified policies.

2. Eligibility

By accessing or using the Platform or registering for a Soikie account, you represent, warrant and agree that you satisfy all of the following requirements. If you do not meet any of these criteria, you must not use the Platform or attempt to register an account.

2.1 Purpose

You will use the Platform solely to request, obtain, offer or provide the services described in Section 1.3. Any other use is prohibited.

2.2 Age

You are at least eighteen (18) years old. Soikie does not permit anyone under 18 to create or maintain an account.

2.3 Residency and Work Authorization

You reside legally in the United States or Puerto Rico. If you register as a Provider, you must in addition be authorized under U.S. federal, state and local law to work in your jurisdiction.

2.4 Legal and Criminal Background

Neither you nor any member of your household (a) is required to register as a sex offender in any jurisdiction; (b) has ever been convicted of, charged with or subject to any pending prosecution, injunction, restraining order or judicial restriction for (i) any felony or (ii) any offense involving violence, abuse, neglect, theft, fraud, dishonesty or endangerment of others; or (c) is under any legal order that would prevent safe participation in the Platform's services.

2.5 Accuracy of Information

All information you provide during registration and at any time thereafter including your legal name, contact details, qualifications, credentials, licenses and availability must be true, accurate and complete. You must promptly update any changes to ensure ongoing compliance.

2.6 Ongoing Compliance

Soikie reserves the right to verify your eligibility by requesting documentation, running identity checks or otherwise at any time and in our sole discretion. Failure to satisfy these requirements, or any misrepresentation of your status, may result in immediate suspension or termination of your account and your access to the Platform.

3. Rules for User Conduct and Use of Services

3.1 Registration, Posting and Content Restrictions

"Content" means any communications, text, images, audio, video, data or other material you upload, post or transmit through the Platform. You agree that:

• Permitted Purpose You will post Content solely to request or provide services or to use Platform features (for example, Q&A forums).
• Accuracy All information you supply—during registration or in profiles—must be accurate, complete and up-to-date.
• Legal Name You will register and maintain your account under your true legal name.
• Language All Content must be in English unless Soikie expressly permits another language.
• Prohibited Content You will not post Content that is unlawful or infringes third-party rights (including defamation, harassment, hate speech, obscenity, fraud, privacy invasion or intellectual property infringement).
• No Misrepresentation You will not misrepresent your identity, qualifications, affiliations or intentions. Opinions must be genuinely held.
• Compliance with Laws Your Content and use of the Platform must comply with all applicable laws.
• Moderation Rights Soikie may, but is not required to, review, edit, refuse or remove any Content at its sole discretion.
• License Grant By posting Content, you grant Soikie and its affiliates a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute and display such Content. You warrant that you own or control all rights in your Content.
• Feedback Any feedback or suggestions you provide become Soikie's sole property, free of obligation to you.
• Disclaimer of Accuracy Soikie does not verify or endorse any user-generated Content.
• You release Soikie from liability arising from reliance on others' Content.
• Reviews & Rebuttals Soikie has no obligation to remove or edit user reviews. You may post one rebuttal per review, subject to these Terms, but may not evade or remove legitimate reviews by deleting and re-registering.

3.2 Exclusive Use

Seekers may use the Platform only to locate or engage Providers for themselves or those in their care. Providers may use the Platform only to offer their own services. Accounts are personal, non-assignable and non-transferable.

3.3 Prohibited Uses

You agree not to, directly or indirectly:

• Violate any law, regulation or third-party right
• Harass, threaten, defame or stalk any person
• Impersonate anyone or misrepresent your affiliation
• Distribute unsolicited promotions outside the Platform's tools
• Interfere with the Platform's integrity or performance
• Attempt unauthorized access to any system or data
• Use automated tools (robots, spiders, scrapers) to access or copy any portion of the Platform
• Reverse engineer or attempt to extract source code
• Remove or obscure proprietary notices
• Circumvent usage restrictions

Soikie may investigate and take action including suspension, termination, content removal or legal remedies against anyone who violates these provisions. Continuous misuse may incur a daily fee (up to $10,000) for scraping or misappropriating Platform content, in addition to other remedies.

4. Termination

Soikie may, in its sole discretion, suspend or terminate your access to the Platform (including any or all features), remove or disable any Content you have posted, and delete your account, with or without notice, for any reason or no reason, including if Soikie determines that you: (a) are ineligible under Section 2; (b) violate these Terms or any Additional Terms; (c) misuse or misappropriate Platform functionality or Content (for example by scraping data or operating a competing service); or (d) otherwise behave in a manner detrimental to the Platform or other users. Upon termination, Soikie has no obligation to retain or provide you copies of any Content you have posted.

Following termination, Soikie may—but is not required to—notify other Registered Users with whom you have communicated that your account has been terminated. Such notification is not a statement about your character, reputation or qualifications and should not be construed as a finding of misconduct.

5. Privacy

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, store, and share your personal information. By accepting these Terms and using the Platform, you also agree to the Privacy Policy in effect at the time of your access. For a full explanation of our practices and your choices, please review the Privacy Policy on our website.

6. Links to External Sites

The Platform may contain links to third-party websites, applications, integrations or resources ("External Sites"), or may display content, advertising or promotions provided by third parties. Such links and third-party content are provided solely as a convenience and do not constitute an endorsement by Soikie of the External Sites, their operators, or the products or services they offer. Soikie does not control, endorse, or guarantee any content on External Sites, and is not responsible for their accuracy, legality, quality or any other aspect. Your interactions with any third party, including payment, contract formation or dispute resolution, are strictly between you and that third party. You agree to hold Soikie harmless from any claims or losses arising from your use of, or reliance on, any External Site.

7. Payment and Refund Policy

To access certain features of the Platform, you must pay Soikie subscription or other fees. You are responsible for any applicable taxes on those fees.

7.1 Billing and Payment

When you subscribe to a paid membership or purchase a fee-based feature ("Paid Subscription"), you authorize Soikie (or its payment processor) to charge your chosen payment method for all applicable fees as described at the time of purchase. You agree to provide accurate billing information and to keep it up to date. Soikie reserves the right to correct any pricing or billing errors even after your payment has been processed.

7.2 Automatic Renewal and Cancellation

Unless you cancel, all Paid Subscriptions will automatically renew at the end of each term for an additional period of equal length, at the then-current rate. To avoid renewal, you must cancel before the end of your current term via your account settings. If you cancel mid-term, your subscription will remain active through the end of that term and will not renew thereafter.

7.3 Installment Plans

We may offer installment payment options for certain Paid Subscriptions. By selecting an installment plan, you commit to pay all installments according to the schedule presented at checkout. If any installment fails, Soikie may suspend or terminate your subscription until full payment is received.

7.4 Free Trials

From time to time, Soikie may offer free trial periods. If you do not cancel before the trial ends, you will be charged the full subscription fee at the then-current rate. To avoid charges, you must cancel before the trial expires via your account settings.

7.5 Refund Policy

Except where required by law, all fees are non-refundable and non-transferable, including for unused or partially used service periods. If Soikie terminates or suspends your access due to a breach of these Terms, you will not be entitled to any refund for any remaining term.

8. Subscription Fees and Payment Terms

Please refer to Section 7 above for subscription fees and payment terms.

9. Release of Liability for Conduct and Disputes

By using the Platform, you acknowledge and agree that Soikie and its officers, directors, employees, affiliates, agents, successors and assigns (collectively "Soikie Parties") are not responsible for the acts or omissions of any Seeker or Provider, or for any disputes, claims or controversies that may arise between users. You release and hold harmless the Soikie Parties from any and all claims, demands, liabilities, damages, losses and expenses (including attorneys' fees) arising from or relating to:

• your interactions or agreements with other users;
• any content, advice or services provided by users; and
• any acts or omissions, whether online or offline, of any user.

10. Age Restrictions

The Platform is intended solely for individuals who are at least 18 years of age. By accessing or using the Platform, you represent and warrant that you are 18 or older. Soikie reserves the right to immediately terminate the account of anyone it believes to be under 18.

11. Disclaimers; Limitation of Liability; Indemnification

11.1 No Warranty

THE PLATFORM AND ALL CONTENT, TOOLS AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SOIKIE DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. SOIKIE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11.2 Assumption of Risk

You understand and agree that your use of the Platform, including any in-person interactions or services arranged through it, involves inherent risks. Soikie does not supervise, endorse or guarantee any user's qualifications, accuracy of content, or compliance with legal or professional standards. You assume full responsibility for verifying provider credentials, conducting interviews, checking references, confirming age and U.S. work eligibility, and otherwise screening any user before engaging services.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE SOIKIE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE (OR INABILITY TO USE) THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL THE SOIKIE PARTIES' AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT YOU PAID TO SOIKIE IN THE PRIOR TWELVE MONTHS, OR, IF YOU HAVE NOT PAID ANY FEES, ONE HUNDRED DOLLARS (US$100).

11.4 Indemnification

You agree to indemnify, defend and hold harmless the Soikie Parties from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising from or relating to:

• your breach of these Terms;
• your content or communications on the Platform;
• your interactions with other users; or
• your violation of any law or the rights of a third party.

Soikie reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, and you will cooperate with Soikie's defense of such claims.

12. Copyright Notices and Complaints

Soikie respects the intellectual property rights of others. If you believe that any content on the Platform infringes your copyright, please provide Soikie's Copyright Agent with all of the following information:

1. A description of the copyrighted work you claim has been infringed.
2. A description of the material you claim is infringing and its location on the Platform (e.g., URL).
3. Your name, address, telephone number and email address.
4. A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner or the law.
5. A statement, under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
6. Your physical or electronic signature.

Upon receipt of a valid notice, Soikie will remove or disable access to the allegedly infringing material in accordance with applicable law.

13. Agreement to Arbitrate

13.1 Binding Arbitration

Except for small claims matters, you and Soikie agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (collectively, "Disputes") will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction.

13.2 Waiver of Class Actions

You and Soikie each waive any right to a jury trial or to participate in a class, collective or representative action. Arbitration will proceed solely on an individual basis.

13.3 Opt-Out

You may opt out of arbitration by sending written notice to Soikie's registered address within 30 days of first agreeing to these Terms. If you timely opt out, all other provisions remain in force, and Disputes will be resolved in court.

13.4 Small Claims

Either party may elect to pursue a Dispute in small claims court for claims within that court's jurisdiction, without pre-arbitration negotiation or waiver of these Terms.

14. Governing Law & Dispute Resolution

These Terms and all Disputes shall be governed by and construed in accordance with the laws of the State of Florida without regard to conflict-of-law principles. Venue for any court action (if arbitration is not available or you validly opted out) shall lie exclusively in the state or federal courts located in Miami-Dade County, Florida. Prior to initiating arbitration or litigation, the parties will meet and confer in good faith to attempt to resolve the Dispute informally.

15. Consent to Electronic Communication

You consent to receive all agreements, notices, disclosures and other communications (collectively, "Communications") from Soikie electronically, via email or postings on the Platform. You may withdraw consent only by terminating your account and ceasing all use of the Platform.

16. Intellectual Property

All right, title and interest in and to the Platform—including text, graphics, logos, icons, images, audio clips, data compilations, and software—are the exclusive property of Soikie or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. "Soikie," the Soikie logo and all related product and service names are trademarks of Soikie. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms. You retain ownership of any Content you post, subject to the license you grant in Section 3.1.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any Additional Terms you've accepted, constitute the entire agreement between you and Soikie regarding the Platform and supersede all prior agreements and understandings.

17.2 No Third-Party Beneficiaries

Except as expressly provided herein, no person or entity other than you and Soikie shall have any rights under these Terms.

17.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without Soikie's prior written consent. Soikie may assign these Terms at any time without notice.

17.4 Force Majeure

Soikie will not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, shortages, epidemics, or government actions.

17.5 No Waiver

No failure or delay by Soikie in exercising any right under these Terms will operate as a waiver of that right.

17.6 Headings

Section and clause headings are for convenience only and have no legal effect.

17.7 Interpretation

In construing these Terms, the singular includes the plural and vice versa; captions are for reference only.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be struck and the remaining provisions will remain in full force and effect.

19. Changes to Terms

Soikie may amend these Terms at any time. Material changes will be communicated to you via email or a prominent notice on the Platform at least 30 days before taking effect; all other changes take effect upon posting. Your continued use after any amendment constitutes acceptance of the updated Terms.
